By accessing or using Digital Nexus services, including Starter, Pro, and Amplify plans, you agree to be bound by the following Terms & Conditions.
1. Acceptance of Terms
By registering, subscribing, or using Digital Nexus, you confirm that you have read, understood, and agreed to these Terms & Conditions and our Privacy Policy. If you do not agree, you must not use our services.
2. Service Description
Digital Nexus provides a cloud-based software platform offering CRM, automation, communication, marketing, AI tools, and business management solutions across different subscription tiers.
We reserve the right to modify, upgrade, or discontinue any feature at any time without prior notice.
3. Subscription Plans & Billing
3.1 Plans
Starter Plan – $50/month
Pro Plan – $200/month
Amplify Plan – $370/month
3.2 Billing
- All subscriptions are billed on a monthly recurring basis unless otherwise stated.
- Fees are non-refundable except where required by law.
- Failure to pay may result in suspension or termination of access.
3.3 Free Trial
- A 14-day free trial may be offered.
- We reserve the right to modify or revoke trial eligibility at any time.
- Trial abuse or multiple sign-ups may result in immediate termination.
4. Fair Usage & Limitations
To ensure platform stability and fair access:
- Unlimited usage (where applicable) is subject to fair usage policies.
- We may limit, throttle, or suspend accounts that excessively impact system performance.
- Abuse of automation, messaging, or AI tools is strictly prohibited.
5. Acceptable Use Policy
You agree NOT to use Digital Nexus for:
- Illegal, fraudulent, or harmful activities
- Spam, unsolicited messaging, or mass harassment campaigns
- Misleading or deceptive marketing practices
- Violating third-party rights or intellectual property
- Uploading malicious code or attempting system exploitation
- Circumventing system limits or security controls
We reserve the right to suspend or terminate any account violating this policy without notice.
6. AI & Automation Disclaimer
Digital Nexus includes AI-powered tools such as AI bots, Voice AI, Content AI, Funnel AI, and Workflow AI.
You acknowledge that:
- AI-generated outputs may not always be accurate or error-free
- You are solely responsible for verifying AI-generated content before use
- We are not liable for decisions, actions, or damages resulting from AI outputs
- AI tools are provided “as-is” without warranties of performance or accuracy
7. Third-Party Integrations
Digital Nexus integrates with third-party services (e.g., WhatsApp, Stripe, PayPal, email providers).
We are not responsible for:
- Third-party service outages or failures
- Data loss or disruptions caused by external platforms
- Changes in third-party policies or pricing
8. Data & Privacy
- You retain ownership of your data.
- You grant Digital Nexus a limited license to process data solely for service delivery.
- We implement reasonable security measures but cannot guarantee absolute security.
- You are responsible for ensuring compliance with applicable data protection laws.
9. Service Availability
- We strive for continuous availability but do not guarantee uninterrupted service.
- Maintenance, updates, or unforeseen outages may occur.
- We are not liable for downtime or business losses resulting from service interruptions.
10. Limitation of Liability
To the maximum extent permitted by law:
- Digital Nexus shall not be liable for any indirect, incidental, or consequential damages.
- Our total liability shall not exceed the amount paid by you in the last 1 billing cycle.
- We are not responsible for loss of revenue, profits, data, or business opportunities.
11. Termination
We reserve the right to suspend or terminate accounts:
- For violation of these Terms
- For abusive, illegal, or harmful usage
- For non-payment or chargebacks
- At our sole discretion with or without notice
Upon termination, access to services will be revoked immediately.
12. Intellectual Property
All Digital Nexus software, branding, systems, and technology remain the exclusive property of Digital Nexus.
You may not:
- Copy, resell, reverse engineer, or distribute our platform
- Claim ownership of any part of the system or technology
13. Modifications to Terms
We may update these Terms at any time. Continued use of the platform after changes constitutes acceptance of the updated Terms.
14. Governing Law
These Terms shall be governed by and interpreted in accordance with the applicable laws of the jurisdiction in which Digital Nexus operates.
